Terms of use

The following Terms and Conditions constitute the entire agreement between the parties and supersede any previous agreements, warranties, representations, undertakings or understandings between the parties and may not be varied except in writing.

1. Definitions

  • Seller: party providing the goods or services.
  • Buyer: party contracting with the Seller.
  • Work: goods/services supplied.
  • Intermediates: all products produced during manufacturing, including IP.
  • Preliminary Work: concept and preparatory stages work.
  • Electronic File: digitised content supplied/produced by either party.
  • Periodical Publications: publications produced regularly.
  • Insolvency: inability to pay debts or relevant legal actions against the Buyer.

2. Payment

  1. Estimates are based on current costs and may change unless otherwise agreed.
  2. Estimates exclude VAT or applicable taxes.
  3. All work, including Preliminary Work, is chargeable.
  4. Additional work due to Buyer’s errors or delays is chargeable.
  5. Payment may be required in advance.
  6. With credit, payment is due by the end of the month following invoice; late payment incurs charges.
  7. Prices are ex-works; delivery is extra unless agreed otherwise.
  8. Suspended/delayed work is subject to storage and resource loss charges.
  9. Delays over 30 days may lead to charges for all completed work and ordered materials.

3. Credit Facilities

Granted subject to approval. May be withdrawn anytime; all dues become payable immediately upon withdrawal.

4. Delivery

  1. Delivery accepted when tendered.
  2. Times are guides only; time is not of the essence.
  3. Default delivery is kerbside; Buyer responsible for offloading and transport.
  4. Difficult/unreasonable access may incur extra charges.
  5. Expedited delivery may incur overtime or additional costs.

5. Materials Supplied or Specified by the Buyer

5.1 Electronic Files

  1. Buyer must keep copies of original files.
  2. Seller not responsible for file accuracy unless agreed.
  3. Unsuitable files may be charged for or rejected.

5.2 Other Materials

  1. Buyer’s material remains Buyer’s property, but Seller may substitute to protect IP.
  2. Seller may reject unsuitable materials; Buyer liable unless delay by Seller.
  3. If Buyer insists on using unsuitable material, Seller not liable for end results.
  4. Supplied material must account for normal spoilage. Extra costs for shortages apply.

5.3 Risk and Storage

  1. Buyer’s property is at Buyer’s risk unless agreed. Insurance recommended.
  2. Reasonable storage charges may apply for early or overdue materials.

5.4 Finished Goods

  1. Risk passes to Buyer upon delivery. Insurance recommended.
  2. Work is stored for 1 month after completion, then destroyed.

6. Materials and Equipment Supplied by the Seller

  1. Seller retains ownership of all production materials.
  2. Type and related materials destroyed unless storage agreed (extra charge).
  3. Seller not obliged to supply digital data unless agreed.

7. Retention of Title

  1. Work remains Seller’s property until fully paid.
  2. Insolvency allows Seller to reclaim goods, enter premises if needed.
  3. If goods are sold before full payment, proceeds held in trust for Seller.
  4. Seller may contact Buyer’s customer directly in cases of breach.

8. Proofs and Variations

  1. Buyer liable for errors not corrected in proofs. Buyer alterations charged extra.
  2. Waiving proofs indemnifies Seller from errors.
  3. Colour variations between proofs and final output deemed acceptable.
  4. Up to 5% variation in quantity allowed unless otherwise agreed.

9. Claims and Liability

9.1 Claims

  1. Damage/loss claims must be made in writing within deadlines (3-14 days).
  2. Rejections must occur within 7 days.
  3. Seller may inspect work within 7 days of claim.

9.2 Liability

  1. Liability limited to correction or credit of defective work.
  2. No liability for indirect/consequential loss or third-party claims.
  3. Defective work must be returned for credit/replacement.
  4. No liability for transit delays.
  5. Buyer must accept replacement unless clear cause shown.
  6. Work sent for third-party processing is considered accepted.
  7. Seller may reject returned third-party processed items.
  8. Liability for death/personal injury not excluded.

10. Insolvency

Seller may terminate the contract and charge for completed work/materials if Buyer becomes insolvent. All invoices become immediately payable.

11. General Lien

Seller holds a lien on all Buyer’s goods in possession for unpaid debts. After 14 days’ notice, Seller may sell them and apply proceeds to debts.

12. Illegal Matter

  1. Seller may refuse to print illegal/libellous/infringing content.
  2. Buyer indemnifies Seller for any claims arising from such content.

13. Periodical Publications

Either party must give notice to terminate (13 weeks for monthly, 26 weeks for less frequent). Seller may terminate if payments are overdue.

14. Force Majeure

No liability for delay/failure caused by events beyond Seller’s control (e.g., natural disasters, strikes, data/material issues). Buyer may terminate with payment for completed work/materials.

15. Data Protection

Buyer warrants all required consents for processing personal data are obtained. Seller will only use personal data for service provision. Seller may share Buyer’s data with credit agencies.

16. Law

These conditions are governed by the laws of England. Jurisdiction: Courts of England and Wales.

17. Notices

All communications must be in writing and signed by authorised representatives.

18. Consumers

These terms do not affect consumer rights.

19. Severability

If any clause is held unenforceable, remaining clauses remain valid and enforceable.
